Examining local and cross-border tax issues. Navigating complex pensions regulations. Providing insights on employment law and employee benefits. We monitor and anticipate legal changes around the world to deliver innovative, effective and practical advice.
Tax is a key issue facing the world's leading international businesses. As the transactions undertaken by global business become increasingly complex, it is vital that tax advice is not delivered in the abstract but rather in the context of a full understanding of the legal documents and arrangements which effect those transactions. Working seamlessly with other practice teams, our tax practice advises on issues such as M&A, structured finance, tax risk management and complex real estate transactions. Our Pensions practice covers not only traditional "pensions law" areas but the much wider range of legal issues that are now relevant, including investment, asset backed funding, longevity risk transfers and pension investment matters. The Employment practice advises a wide range of clients on a full spectrum of complex, high profile employment issues covering advisory work, high profile litigation and advising on the employment aspects of major transactions. Our Incentives specialists guide clients through remuneration, share schemes and other incentives issues.

Our Employment practice plays an integral role in the cross-practice team advising the Board of Serco Group plc in relation to a number of high profile reviews by the UK government into Serco's UK public sector outsourcing contracts. We provided strategic advice to the Board to guide them through the crisis. We advised on the company’s handling of the various inquiries and investigations, and on the company’s interactions with government departments, and investigating bodies. We also advised the Chairman on his appearance before a parliamentary select committee.
Advised the Co-operative Bank on: (1) its recapitalisation plan and liability management exercise ("LME"); (2) its separation from the Co-operative Group (the "Group"); (3) its subsequent placing and open offer to raise £400 million Core Equity Tier 1 capital and (4) its subsequent disposal by securitisation of various portfolios of mortgage assets in order to improve its regulatory capital position.
Advising a range of banks on two key remuneration issues over the last 12 months – the bonus "cap" and the new requirement to make pay subject to clawback. This is all new regulation and there is little guidance from the regulators, which has given us an opportunity to really analyse the regulations and shape market practice.
